Is that the only difference between the two is the shelfs?

Yes, I have looked at both locally here in OKC inside and out and could find no visible difference, thus my choice of the one from Sams when I bought mine in June,  plus there is better than a 90% chance or more that you will ever use 6 shelves. I normally use 1-2 shelves when I smoke and seldom if ever, need 3, let alone 4. Depends what you smoke. That 40" BT holds a lot on each shelf.

 If there is a difference, then it would have to be invisible as there is none visible.

Yes I agree with brick guy. I researched like crazy and decided to save 100 bucks and get the 4 rack with stand from SAMs club.
